Bayou Graphics
Effective Date: June 1, 2024
- Scope of Services
Bayou Graphics (“Company,” “we,” “us,” or “our”) provides custom fabrication, graphic design, printing, vehicle wrapping, and installation services (“Services”) to its clients (“Client,” “you,” “your”). By engaging our Services, you agree to the following Terms and Conditions, which form a binding agreement between you and Bayou Graphics.
Our services include:
- Consultation and Planning: Comprehensive site evaluation, brand analysis, and project scoping.
- Design Phase: Creation of custom mockups in accordance with your brand guidelines, including material recommendations and color matching.
- Fabrication: In-house production using premium-grade materials.
- Installation: Full-service installation, including permitting, mounting, and weatherproofing.
- Payment Terms
2.1 Payment is due upon receipt of invoice unless otherwise agreed to in a written instrument executed by an authorized representative of Bayou Graphics.
2.2 A 50% deposit (or Purchase Order) is required upon order placement. The balance is due before the release of the completed work or deployment of technicians to the installation site.
2.3 Invoices unpaid after thirty (30) days shall be considered delinquent. Delinquent accounts may be referred to collections, pursued via small claims court, and will incur interest at the lesser of 18% APR or the maximum rate allowed under applicable law.
2.4 The Client must dispute any invoice in writing within ten (10) days of the invoice date. Failure to notify Bayou Graphics of a dispute shall constitute full acceptance of the invoice.
- Estimates and Taxes
3.1 All quotations and estimates provided are good-faith approximations based on current market conditions and are valid for thirty (30) days.
3.2 Bayou Graphics reserves the right to revise pricing due to fluctuations in material or labor costs.
3.3 Applicable state and local sales taxes will be applied unless a valid tax exemption certificate is provided prior to billing.
- Job Cancellation and Errors
4.1 In the event of Client cancellation, the Client shall be responsible for all costs incurred, including but not limited to, materials, labor, and design services, restocking fees of material, interest charges, sub-contractor costs, etc. These costs will be determined by solely by Bayou Graphics.
4.2 Bayou Graphics shall not be liable for errors after final Client approval. Verbal orders are accepted at Client’s risk; only written communications are binding.
4.3 No claims will be honored after twenty-four (24) hours from receipt of completed work.
- Intellectual Property, Trademarks, and Copyrights
5.1 The Client warrants that all materials provided to Bayou Graphics for use do not infringe upon any copyright, trademark, or other intellectual property rights.
5.2 The Client shall indemnify and hold harmless Bayou Graphics from any and all claims, liabilities, and expenses arising from intellectual property disputes.
5.3 Bayou Graphics retains all rights to design concepts and may reuse non-client-specific elements for other projects unless otherwise expressly agreed in writing.
- Limitation of Liability
6.1 Bayou Graphics shall not be liable for any indirect, incidental, consequential, or punitive damages arising out of or relating to Services provided.
6.2 The Client acknowledges that materials provided by the Client are used at the Client’s own risk. Bayou Graphics assumes no responsibility for loss or damage to Client-supplied materials.
- Returns and Refunds
7.1 All products and Services are custom-made and non-refundable.
7.2 The Client must notify Bayou Graphics in writing of any concerns within thirty (30) days and provide the opportunity to correct or remedy any issue before initiating any chargeback or return.
7.3 In the event of non-payment, Bayou Graphics reserves the right to remove installed graphics, reclaim produced goods, and may file a Texas Mechanic’s Lien against Client vehicles or property.
- Wrap Installations and Warranty
8.1 Bayou Graphics guarantees final prints solely on graphics designed and set up by Bayou Graphics.
8.2 No warranty is provided for installation on vehicles with OEM paint exceeding six (6) years of age, or on surfaces where prior damage or repainting has occurred.
8.3 Installation performed at the Client’s premises releases Bayou Graphics from any liability for environmental factors affecting the quality of the install.
8.4 Material warranties include:
- Four (4) years against adhesive failure and image degradation on vertical vehicle surfaces.
- One (1) year warranty on perforated window vinyl.
- One (1) year on horizontal surfaces exposed to direct sunlight.
- Removals
9.1 Wrap removal is unpredictable; labor is billed at $100.00 per man-hour unless a fixed price is quoted.
9.2 Bayou Graphics shall not be liable for damage to paint, clear coat, or prior striping during removal.
9.3 Additional cleaning fees may apply if a vehicle is not delivered in a reasonably clean condition.
- Vehicle Storage
10.1 While vehicles left overnight will be secured to the best of our ability, Bayou Graphics disclaims any liability for theft or damages occurring while the vehicle is on our premises.
10.2 Vehicles left beyond the agreed completion date shall be subject to a storage fee starting at $150.00 per day, dependent on vehicle size.
- Media and Documentation
11.1 Bayou Graphics reserves the right to photograph, video, and otherwise document all completed projects for marketing and promotional purposes.
11.2 Should the Client wish to withhold consent for media use, a formal written objection must be submitted prior to production or installation.
- Entire Agreement
12.1 This Agreement represents the entire understanding between the parties and supersedes all prior discussions, agreements, or representations.
12.2 No amendment or modification of this Agreement shall be effective unless in writing and signed by authorized representatives of both parties.
12.3 Any terms or conditions contained in Client’s own documents which are inconsistent with or additional to the terms of this Agreement shall be of no force or effect unless expressly agreed upon in writing.
12.4 Client’s acceptance of any quotation, delivery of any deposit, or authorization to proceed shall be deemed full acceptance of these Terms and Conditions.
- Governing Law and Venue
This Agreement shall be governed by and construed in accordance with the laws of the State of Texas.
Any disputes arising under this Agreement shall be resolved exclusively in the state or federal courts located in Harris County, Texas, and the Client consents to jurisdiction and venue therein.
